Digital Product Licence Agreement

Effective Date: date of purchase

Please read this Licence Agreement together with our Licencing FAQs before purchasing or using any My Life Rulz digital product.

This Licence Agreement forms a legally binding agreement between you and Paraclete Productions Pty Ltd (trading as My Life Rulz). By purchasing, downloading or using any My Life Rulz digital product, you agree to these Licence Terms.

In this Agreement:

Licence means the right to use the Resources granted under this Agreement.

Licence Holder means the individual, school or organisation that purchases the Licence.

Resources means all digital educational materials, lesson plans, worksheets, presentations, videos, downloads and related content supplied by My Life Rulz.

Licence Term means the twelve (12) month period commencing on the date of purchase unless otherwise stated.

All My Life Rulz Resources remain the intellectual property of David J Riddell, Nelson, New Zealand (trading as Living Wisdom) and the copyright of Paraclete Productions Pty Ltd, Queensland, Australia (trading as My Life Rulz). Your purchase gives you a Licence to use the Resources in accordance with your Licence Agreement.

Purchasing any resource does not transfer ownership of any copyright or other intellectual property rights.

Your purchase grants you a non-exclusive, non-transferable Licence to use the resource in accordance with this Agreement.

An Individual Licence allows one purchaser to use the resource for the age level purchased:
• personal use
• teaching their own children
• use within their own classroom
• lesson preparation
• printing or providing copies to students the Licence Holder directly teaches

The Licence may not be shared with other teachers, schools or organisations.

Parents or legal guardians may use purchased Resources for all dependent children living within their immediate household.

Resources may not be shared with other homeschooling families or cooperatives unless a separate Licence has been purchased.

This Licence allows authorised employees, teachers and relief teachers engaged by the school to access and use the Resources solely for educational purposes within the Licensed school and only for the purchased age level(s).

Schools are responsible for selecting the correct Licence based on the total number of students who will have access to or be taught using the licensed Resources. The student numbers for a small, medium or large school are clearly communicated. We reserve the right to verify that the selected school size accurately reflects the number of students covered by the Licence.

Unless expressly stated, a School Age Level Licence does not extend to:
• other age levels
• other campuses
• unrelated schools
• school networks
• education departments
• external tutors
• contractors or consultants who are not employed or formally engaged by the Licence Holder

If a school's student enrolment increases so that it exceeds the maximum number of students covered by its purchased Licence category, the Licence Holder must upgrade to the appropriate Licence within a reasonable time.

Multi-campus organisations should purchase the appropriate Licence for each campus or contact us regarding a network Licence.

This Licence allows authorised employees, teachers and relief teachers engaged by the school to use the Resources within that school only.

Churches, counselling practices, charities, community organisations and other organisations may use Resources only within the scope of the Licence purchased.

Additional campuses, sites or branches require separate Licences unless otherwise agreed in writing.

You may:
• download purchased files
• print copies permitted under your Licence
• project materials during lessons
• store files securely for your own authorised use
• use the Resources during the current Licence Term in accordance with this Agreement
• use Resources according to our AI Policy
• make reasonable backup copies for your own authorised use

You may not:
• upload files to public websites or publicly accessible file-sharing services
• share downloads through social media
• email purchased files to others
• sell, sublicense or redistribute our Resources
• remove or obscure copyright, trademark or Licence notices
• alter branding or copyright statements
• claim the Resources as your own work
• use our Resources to create competing commercial products
• use our Resources outside our AI Policy
• allow unauthorised users to access purchased Resources

If using My Life Rulz Resources within an approved learning management system (LMS), access must be restricted to authorised students or staff covered by your Licence. Resources must not be made publicly available.

Our Resources may not be uploaded into public AI systems for redistribution, training, resale or the creation of derivative commercial products without our written permission.

Limited use with private AI tools for lesson preparation or personal educational purposes is permitted, provided that:
• the uploaded material remains confidential
• it is not used to train publicly available AI models
• it is not redistributed through any AI platform
• copyright ownership of My Life Rulz Resources is acknowledged where appropriate

All copyright, trademark and attribution notices must remain on every resource. Licences are not transferable. They may not be assigned, sold or transferred to another individual, school or organisation without our prior written consent.

Unauthorised copying, distribution, inaccurate Licence selection or use outside the scope of the applicable Licence may, at our discretion, result in the immediate suspension or termination of the Licence without notice or refund. Such conduct may also constitute copyright infringement under Australian law.

The Licence granted under this Agreement commences on the date of purchase and remains valid for twelve (12) months, unless otherwise stated.

At the end of each Licence Term, the Licence Holder may renew the Licence by payment of the applicable annual renewal fee.

If the annual renewal fee is not paid:
• the Licence expires at the end of the current Licence Term;
• the Licence Holder must cease using the Resources;
• all digital copies must be removed from devices, servers and learning management systems, except where retention is required by law;
• access to any password-protected Resources, downloads and online content associated with the Licence will cease;
• the Resources must no longer be reproduced, distributed or accessed under the expired Licence.

Renewing the Licence allows continued use of the Resources in accordance with this Agreement.

The initial purchase price includes a twelve-month Licence to use the Resources.

The annual renewal fee is 25% of the original purchase price paid for the applicable Licence. This renewal fee entitles the Licence Holder to continue using the Resources for a further twelve (12) months in accordance with this Agreement.

If the Licence Holder upgrades or changes to a different Licence category or school size before renewal, the renewal fee will be based on the purchase price of the upgraded Licence.

• School Age Level Licence
• Full School Licence
• Church Licence
• Organisation Licence

An active annual Licence entitles the Licence Holder to:
• continue using the Resources;
• receive updates, corrections and improvements released during the active Licence Term;
• receive revised editions released during the active Licence Term, where applicable;
• access updates, revisions and additional content released for the licensed product during the active Licence Term.

Renewal fees must be paid on or before the renewal date. If payment is not received by the renewal date, the Licence expires automatically without further notice.

Failure to issue or receive a renewal reminder, including where contact details are no longer current, does not extend the Licence Term or waive the requirement to renew the Licence before continuing to use the Resources.

Renewal pricing may change from time to time and will apply from the next renewal period.

Schools and organisations are responsible for ensuring that the contact details associated with their Licence remain current. Where a Licence is purchased by an employee on behalf of a school or organisation, it is the responsibility of the Licence Holder to notify My Life Rulz of any changes to the nominated contact person or email address. Failure to receive a renewal reminder due to outdated or invalid contact details does not extend the Licence Term or affect the Licence Holder's obligation to renew before continuing to use the Resources.

If a dispute arises out of or in connection with this Agreement, the parties agree to first use reasonable efforts to resolve the dispute through good-faith discussions.

If the dispute cannot be resolved within 60 days, either party may request that the dispute be referred to mediation conducted in Queensland, Australia, or by another method agreed between the parties (including online mediation).

If the dispute is not resolved through mediation within a reasonable time, either party may commence legal proceedings in the courts of Queensland, Australia.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief where necessary to protect its rights or intellectual property.

This Agreement is governed by the laws of the State of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland and the courts of Australia having jurisdiction to hear appeals from those courts.

My Life Rulz Resources are educational materials designed to support learning, wellbeing and personal development. They are not intended to replace professional advice, counselling, psychological treatment, medical care or legal advice.

While we take reasonable care to ensure our Resources are accurate and of a high quality, we do not warrant that they will meet every user's individual needs or circumstances.

To the fullest extent permitted by law, Paraclete Productions Pty Ltd (trading as My Life Rulz) is not liable for any indirect, incidental, consequential or special loss or damage arising from the use of, or inability to use, our Resources.

Nothing in this Agreement excludes, restricts or modifies any rights or remedies that cannot be excluded under the Australian Consumer Law or any other applicable legislation.

Where our liability cannot be excluded by law, our liability is limited, at our option, to replacing the product, supplying an equivalent product, or refunding the purchase price paid for the product.

Users are responsible for exercising appropriate professional judgement and supervision when using My Life Rulz Resources with children and young people. Activities should be adapted where necessary to suit the age, maturity, abilities and individual needs of participants.

Where a child or young person discloses information that raises concerns about their safety or wellbeing, users must comply with all applicable child protection and mandatory reporting laws and requirements in their jurisdiction.

We may update this Licence Agreement from time to time. The version of this Agreement published on our website at the time of purchase applies to that purchase unless otherwise stated.

Any amendments will not retrospectively reduce the rights granted under Licences already purchased unless required by law.

This Agreement, together with the Licence FAQ’s and any documents expressly incorporated by reference, constitutes the entire agreement between the parties regarding the Licence and supersedes any previous discussions or representations relating to it.
